These Terms of Service ("Terms") govern your access to and use of westapexops.us (the "Site"), operated by WestApex Ops LLC, a North Carolina limited liability company ("WestApex Ops," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, please do not use the Site.

Services

WestApex Ops is an industrial systems consultancy. The Site presents information about our capabilities for general informational purposes and does not constitute professional, engineering, legal, or financial advice. Any engagement for services is governed by a separate written agreement or statement of work, which controls to the extent it conflicts with these Terms.

Intellectual property & acceptable use

The Site and its contents, including text, design, graphics, logos, and code, are owned by WestApex Ops LLC or its licensors and protected by applicable intellectual-property laws. You may not copy, reproduce, distribute, or create derivative works from the Site without our prior written permission. You agree not to use the Site for any unlawful purpose; not to attempt to disrupt, compromise, or gain unauthorized access to the Site or its infrastructure; and not to scrape, harvest, or overload the Site through automated means without our consent — automated access consistent with our published robots.txt is permitted.

Limitation of liability & indemnification

To the fullest extent permitted by law, WestApex Ops LLC, its owner, members, and personnel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Site. Our total liability for any claim related to the Site will not exceed one hundred US dollars (US $100). You agree to indemnify and hold harmless WestApex Ops LLC, its owner, members, and personnel from any claims, damages, or expenses arising out of your misuse of the Site or your violation of these Terms.

Governing law and jurisdiction

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the state courts located in Montgomery County, North Carolina, and the United States District Court for the Middle District of North Carolina, and you consent to venue in those courts.

General

If any provision of these Terms is held invalid or unenforceable, it will be limited or removed to the minimum extent necessary, and the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver. These Terms, together with our Privacy Policy and any applicable statement of work, constitute the entire agreement between you and WestApex Ops LLC regarding the Site.
